2. Eligibility and Use of Services

3. Project Engagements, Fees, and Payments

Engagements with iHeartMDE Studios may require a written agreement, proposal, or invoice outlining scope, fees, timelines, and payment terms.

• Payments are due as outlined in the agreed-upon terms and are non-refundable unless explicitly stated otherwise in writing.

• Late payments may result in paused work or termination of services.

iHeartMDE Studios reserves the right to decline or discontinue projects at our discretion.

4. Client Responsibilities

By engaging our services, you agree to:

• Provide accurate, timely, and complete information necessary for project execution

• Respond to requests, feedback, and approvals within reasonable timeframes

• Secure any required rights, permissions, or licenses for materials you provide

Delays or issues caused by incomplete information, lack of communication, or third-party dependencies may impact timelines and outcomes.

5. No Guarantee of Results

While we apply professional expertise and best practices, iHeartMDE Studios does not guarantee specific outcomes, including but not limited to revenue, conversions, audience growth, campaign performance, or business results.

Marketing, creative, and strategic work involves variables outside our control, including audience behavior, platform algorithms, market conditions, and third-party systems.

6. Third-Party Tools and Providers

Our services may involve the use of third-party platforms, vendors, or service providers (e.g., advertising platforms, software tools, event vendors, payment processors).

iHeartMDE Studios is not responsible for the performance, actions, outages, or errors of third-party providers. Any disputes related to third-party services must be resolved directly with those providers.

7. Intellectual Property

Unless otherwise agreed in writing:

• iHeartMDE Studios retains ownership of all concepts, frameworks, methodologies, and pre-existing intellectual property.

• Upon full payment, clients are granted rights to use final deliverables for their intended purpose.

• Drafts, unused concepts, and internal materials remain the property of iHeartMDE Studios.

You may not reproduce, resell, or redistribute our work beyond the agreed scope without written permission.

8. Confidentiality

Both parties agree to maintain the confidentiality of non-public, proprietary, or sensitive information shared during the course of an engagement, unless disclosure is required by law.

9. Limitation of Liability

To the fullest extent permitted by law, iHeartMDE Studios shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of our website or services.

Our total liability for any claim related to services provided shall not exceed the amount paid to us for the specific engagement giving rise to the claim.

10. Termination

Either party may terminate an engagement in accordance with the terms outlined in the applicable agreement. Upon termination:

• Outstanding invoices remain due

• Work completed up to the termination date will be delivered as appropriate

• No refunds will be issued for work already performed

11. Modifications to Services and Terms

We reserve the right to update these Terms or modify our services at any time. Updates will be posted on our website with a revised effective date. Continued use of our services constitutes acceptance of the updated Terms.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, without regard to conflict of law principles.

Any disputes arising under these Terms shall be resolved through binding arbitration in the State of Georgia, unless otherwise required by law.
